Corporations are legal vehicles created for resource coordination and risk allocation. This course will introduce you to the history, legal framework, constitution, and internal mechanics of entities incorporated in Canada. Along the way, we will highlight challenges arising at the intersection of moral hazard and legal personality. At the end of this class, you will have a better understanding of corporate decision making processes and a clearer sense of the risks associated with being involved with a corporation, for example as a board member or as a shareholder.
